Potential Business Partner Data Protection Information Notice

 

1. INTRODUCTION

The Potential Business Partner will provide to UAB “Biomapas” (registered office at K. Donelaicio str. 60, Kaunas, Lithuania, legal entity code 135750888 (hereinafter referred to as “Biomapas”)) and/or to Biomapas group affiliate companies (all together referred to as the “Biomapas Group”) his/her (when potential business partner is a natural person) or its representatives (when potential business partner is a legal entity) personal data. The Biomapas, Biomapas Group and/or Biomapas group contractor will collect, process and use personal data relating to the Potential Business Partner and/or its representatives as defined below.

The purpose of this Potential Business Partner Data Protection Information Notice (hereinafter – the “Notice”) is to inform Potential Business Partner and their representatives (when applicable) about data processing purposes, data processing and transfer procedures within and (in limited cases) outside the Biomapas Group, and is without prejudice to applicable local data protection/privacy laws which prevail over this Notice. It supplements – but does not replace and is without prejudice to – any specific local notices, policies or procedures that may have been distributed to or agreed on by the Potential Business Partner, if any, or that may be implemented in the future.

This Notice supplements global and local data protection policies, notices or guidance (hereinafter – “Additional Policies“) of Biomapas and/or Biomapas Group, which set out the principles that apply to the use of personal data throughout Biomapas. Wherever such Additional Policies are in any respect inconsistent with this Notice, this Notice shall only apply to the extent that it is consistent, or may be made consistent, with that Additional Policy.

Any queries in relation to Potential Business Partner’s and/or its representatives’ personal data or enforcement of any of the below Potential Business Partner’s and/or its representatives’ rights shall be addressed to the Data Protection Officer via email as described in Section 4 of this Notice.

 

2. COLLECTION, PROCESSING AND USE OF POTENTIAL BUSINESS PARTNER’S AND/OR ITS REPRESENTATIVE’S DATA

Biomapas Group values our relationship. Biomapas Group takes responsibilities regarding Potential Business Partner’s and/or its representatives’ personal data privacy and security seriously.

Biomapas Group is committed to protecting Potential Business Partner personal data and to being transparent about the information Biomapas Group companies, including Biomapas, are collecting about Potential Business Partners and what they do with it.

As Potential Business Partner is aware, Biomapas might use Potential Business Partner’s or/and its representative’s personal data in order to provide Potential Business Partner with offers and information about services of Biomapas Group as well as goods and services of Biomapas partners and persons otherwise related to Biomapas. Potential Business Partner and/or its representatives might receive emails with invitations to useful Biomapas events, business-related market or professional information updates as well as proposal to cooperate. Biomapas Group usually approaches Potential Business Partner only: 1) after the initial business contact with you or your representative has indicated that staying in touch with Biomapas is within your business interest; 2) when Biomapas Group believes it may establish mutually beneficial cooperation with Potential Business Partner while performing Biomapas business or because Biomapas is seeking to acquire products and/or services of Potential Business Partner.

Biomapas or any other Biomapas Group company has received your contact details in the course of our commercially related interactions from you directly, from your colleague, employer or public source.

Terms and conditions for data processing. Potential Business Partner’s or/and its representative’s personal data may be collected, stored, maintained, including transferred, both digitally and in a material medium, by any means such as email and internet connection which are selected considering the nature of the data processed, ensure safe handling and prevent unauthorised access to personal data.

Purposes of collection, processing and use of Potential Business partner’s or/and its representatives’ personal data. When Potential Business Partner or/and its representative communicates with Biomapas Group or its affiliate, personal data provided in the emails and their attachments as well as contact data may be processed for Biomapas business-related communication purpose.

More specifically, these purposes may include:

  • to better meet Biomapas and Biomapas Group’s business needs and to enhance resource planning;
  • to provide resource management information to the Biomapas Group’, including any relevant information to actual or potential business partners and/or investors;
  • to cooperate with consultants representing Biomapas Group interests;
  • to initiate contract on provision of services or goods concluded with the Potential Business Partner;
  • to manage vendor’s contact list;
  • to facilitate business communications, negotiations, transactions, conferences, to prepare for, execute, or otherwise support any potential transaction involving all or a portion of the business of the Biomapas Group.

Legal basis for Potential Business Partner or/and its representative’s personal data processing. Biomapas will process Potential Business Partner or/and its representative’s personal data, where such processing is reasonably necessary and is within Biomapas’ legitimate business interests (e.g. in order to ensure vendor management and/or Biomapas Group business development) and (whenever applicable on the case by case basis) upon receipt of Potential Business Partner’s or/and its representative’s consent.

Personal data retention period. The personal data of the Potential Business Partner and/or its representatives will not be kept for longer than necessary for the purposes for which they were collected in accordance with the applicable law. For the purpose of Biomapas Group, including Biomapas, business development and/or vendor management, Biomapas will process personal data of the Potential Business Partner and/or its representatives for 2 years since last contact with the Potential Business Partner, unless Potential Business Partner is contracted by any of Biomapas Group companies (e.g. the Vendor Data Protection Notice will be applied for further processing of personal data) or legal acts provide to the contrary.

 

3. TRANSFER OF PERSONAL DATA

Biomapas may transfer Potential Business Partner and/or its representatives’ personal data to Biomapas Group companies, any Biomapas contractor engaged in client servicing and Biomapas client (when this is justified by Potential Business Partner business interest) residing in the European Economic Area (“EEA”) and outside EEA. Only a limited number of individuals within Biomapas Group companies’ information technology or other departments as well as certain managers will receive access to following categories of Potential Business Partner and/or its representatives’ personal data: personal identification data, contact details, data on prices and other data related to service delivery. Access will be provided on a need-to-know basis and only for business purposes explained above.

Biomapas and upon its request any company of Biomapas Group may contract with third party service providers as part of their normal business operations in connection with administrative functions or information technology support (e.g., software maintenance and data hosting). Biomapas and any company of Biomapas Group will (i) diligently choose such third-party service providers, and (ii) ensure that such third-party service providers adopt adequate technical and organizational security measures to safeguard the Potential Business Partner and/or its representatives’ personal data and use the such personal data only as instructed by Biomapas and appropriate company of Biomapas Group and for no other purposes.

In limited occasions, Biomapas and the Biomapas Group company may also need to make the personal data available to Biomapas Group professional advisors; potential or existing investors and acquirers; third parties and/or their advisors located inside or outside the EEA, including in countries which do not adduce the same level of protection of personal data as in the EEA.

Biomapas Group company will only carry out personal data transfers outside the EEA where it is confident that the level of protection applied to personal data will be similar as if it had remained within the EEA. In such case where personal data is transferred outside the EEA, we will apply proper protection measures (e.g. appropriate internal rules or Standard Contractual Clauses will apply) in order to ensure that personal data is adequately protected against unauthorized processing in such countries.

 

4. RIGHTS OF THE POTENTIAL BUSINESS PARTNER AND/OR ITS REPRESENTATIVES

If you, as Potential Business Partner or representative of the Potential Business Partner, wish to continue to receive such information from Biomapas and agree with Biomapas data processing, no action is needed. If you no longer wish to receive communications from Biomapas/Biomapas Group or disagree with your personal data processing, simply send an email to Biomapas Data Protection Officer via data.protection@biomapas.com referencing your name and surname and that you do not wish to be contacted by Biomapas Group. Please be aware that your choice will not affect all communication with Biomapas team for the purpose of performance of the contract concluded with Potential Business Partner and it will continue as before.

To reflect the newest changes in data protection law, and Biomapas Group commitment to transparency, Biomapas continuously adopt Privacy Policy. Biomapas Group encourages all new Potential Business Partners to review Privacy Policy.

The Potential Business Partner and/or its representatives (if applicable), has a right to withdraw any of his/her consents for personal data processing (at any time, without affecting the lawfulness of processing before the consent given for data processing was withdrawn), to know (to be informed) about the processing of his/her personal data, to access personal data held about him/her and obtain a copy of personal data, to have inaccurate personal data corrected or to have personal data erased and to restrict or object processing of personal data for legitimate reasons. The Potential Business Partner and/or its representative has the right to data portability and to lodge a complaint with the State Data Protection Inspectorate as well as other competent authority in the country of Potential Business Partner’s and/or its representative’s residence.

The Biomapas does not take decision upon automatic processing of Potential Business Partner and/or its representative’s personal data, including profiling.
